Alphabet Inc. is in discussions to acquire cloud security company Wiz Inc. for $33 billion, rekindling negotiations that were abandoned last summer after extended talks, Bloomberg News reported.

If finalized, the deal—expected to be announced as soon as Tuesday—would mark Alphabet’s largest acquisition to date and bolster Google’s cloud business as it seeks to compete with Microsoft Corp. and Amazon.com Inc. in the rapidly evolving cloud-computing market.

While Google Cloud has turned profitable in recent quarters after years of losses, its sales growth has slowed.

The deal’s terms have not been finalized, and discussions could still break down without an agreement. A representative for Wiz declined to comment, while Alphabet did not respond to requests for comment.

Shares of Alphabet fell by less than 1% as markets opened in New York.

The Wiz acquisition would be the largest merger and acquisition (M&A) deal announced this year. Corporate dealmakers had anticipated that U.S. President Donald Trump’s policies would create favorable conditions for M&A activity.

However, his tariff threats and geopolitical tensions have unsettled markets, prompting many to adopt a wait-and-see approach.

For Wiz, the renewed talks mark a dramatic shift from last year when the company rejected Alphabet’s $23 billion offer, opting instead to remain independent and pursue an eventual initial public offering (IPO).

At the time, Wiz and its investors were concerned about prolonged regulatory scrutiny, particularly from competition authorities in the U.S. and Europe, which have been closely monitoring the tech sector’s market influence.

Wiz CEO Assaf Rappaport previously called Alphabet’s 2024 bid “humbling” but expressed a preference for building Wiz into an independent cybersecurity giant capable of competing with industry leaders such as CrowdStrike Holdings Inc. and Palo Alto Networks.
